The Society of Entrepreneurial Women: 12-Month Membership Agreement

This Agreement outlines how The Society operates so expectations are clear, fair, and consistent for all members. Our goal is to provide high-impact education, coaching, accountability, and community while maintaining clear boundaries that protect both our members and the integrity of The Society.

This Membership Agreement ("Agreement") is entered into between The Society of Entrepreneurial Woman LLC ("The Society") and the individual accepting and electronically signing this Agreement ("Student" or "Member"). The effective date is the date on which Student electronically signs this Agreement and submits or completes the applicable enrollment payment process.

MEMBERSHIP INVESTMENT

The investment for the twelve (12) month membership is $9,997 USD. Payment may be completed using the payment method or approved third-party financing option made available at enrollment. Regardless of payment method, Student acknowledges that this is a twelve (12) month membership commitment and agrees to the full membership investment.

1. SCOPE OF SERVICES

During the active membership term, The Society will provide access to The Society membership program and its applicable educational, coaching, accountability, implementation, and community resources.

a. Educational Curriculum and Resources

The Society will provide login credentials and access to applicable online courses, educational materials, recorded trainings, templates, resources, video libraries, replay libraries, and other educational content made available to active members.

Student will receive access to coach-led Tribe meetings designed to support accountability, implementation, networking, and community engagement. The current membership structure includes two (2) Tribe meetings per month, subject to scheduling and program updates.

c. Office Hours with Heather

Student will receive access to two (2) group office-hour sessions with Heather per month, subject to scheduling and availability.

d. Monthly 1:1 Coaching

A twelve-month membership includes up to twelve (12) individual coaching calls, each thirty (30) minutes in length, subject to availability, payment status, onboarding completion, and the scheduling policies below.

Paid-in-Full Members: Members whose membership balance has been paid in full are eligible to access all twelve (12) coaching calls during the membership term. Calls may be scheduled based on coach availability. Multiple calls may be scheduled within a single month if availability permits. The Society does not guarantee availability if calls are deferred until later in the membership term. Once all twelve calls have been used, additional coaching may be available for purchase at the then-current rate.

Financed or Split-Payment Members: Members utilizing approved financing or installment payments may schedule one (1) coaching call per month while payments remain active. Calls may not be banked, stacked, or carried over from month to month. Any unused monthly call is forfeited. Upon completion of all payment obligations, any remaining unused calls may be scheduled under the Paid-in-Full Member policy, subject to coach availability.

Cancellation, Rescheduling, and Forfeiture: A minimum of seventy-two (72) hours' notice is required to reschedule a coaching call. Members may reschedule only once per calendar month. A call is forfeited and counted as used if Student cancels with less than seventy-two hours' notice, fails to attend, or attempts to reschedule more than once during a calendar month. Unused, canceled, or forfeited calls do not roll over, are not refundable, and are not reimbursable. Calls not used during the membership term are forfeited when the Agreement expires.

e. Deal Evaluation Sessions
The Society will provide access to two (2) deal evaluation sessions per month in which members may bring real investment opportunities for educational discussion and review. Participation does not constitute legal, financial, tax, securities, or individualized investment advice.

f. AI Coaching Session
The Society will provide access to one (1) AI coaching session per month as part of the active membership experience, subject to the applicable program format and scheduling.

g. Community Access
Student will receive access to applicable Society community spaces, including member community and chat channels made available during the membership term, for connection, accountability, networking, celebration, and peer engagement.

h. Scaling, Implementation, and Capital-Raising Education
The Society may provide educational training, coaching, and implementation support related to business growth, investing, execution strategies, capital raising, and investor relations. All such content is educational in nature and does not constitute legal, financial, investment, tax, or securities advice.

2. DELIVERY OF SERVICES

Access to digital course materials, community platforms, coaching opportunities, live trainings, educational resources, event registration systems, or other membership benefits constitutes delivery of services. Upon issuance of login credentials or access to The Society platforms, services are considered rendered.

3. AGREEMENT LENGTH

This Agreement begins on the Effective Date and remains in effect for twelve (12) months unless terminated pursuant to this Agreement.

Student acknowledges that this is a twelve-month membership commitment. Failure to participate, attend sessions, access materials, utilize coaching, attend Growth Week, or engage with the community does not relieve Student of financial responsibility.

4. NO REFUND POLICY

All payments by Student to The Society are non-refundable and final.

Student acknowledges that by electronically signing this Agreement and submitting payment, Student is entering into a legally binding financial commitment.

Student agrees not to initiate a chargeback, payment dispute, or reversal with any credit card company, bank, lender, financing provider, or payment processor in an attempt to avoid the obligations of this Agreement.

If Student uses a third-party financing or installment provider, including but not limited to Klarna or Splitit, Student acknowledges that such provider is a separate entity. The Society's No Refund Policy applies regardless of the financing provider's terms, and Student remains responsible for the total agreed-upon membership amount.

There is no refund if The Society terminates Student's participation for cause.

5. TERMINATION

5. TERMINATION

The Society may terminate this Agreement for cause when necessary to protect the integrity of the community or learning environment, including disruptive or inappropriate behavior, failure to follow program guidelines, failure to respond for two (2) weeks or more when response is reasonably required for program administration, impairment of other members' participation, violation of confidentiality or intellectual-property provisions, or violation of this Agreement.

6. CONFIDENTIALITY AND NON-DISCLOSURE

Student agrees to treat information obtained through participation in The Society as confidential and proprietary, including course content, coaching discussions, Tribe discussions, deal evaluation sessions, frameworks and strategies, login credentials, non-public pricing information, and member information.

Student shall not disclose, share, reproduce, distribute, record, or publish such information outside The Society except with prior written permission.

7. INTELLECTUAL PROPERTY

During the term of this Agreement and for one (1) year following completion or termination, Student shall not directly reproduce, resell, teach, distribute, or repurpose The Society's educational materials, frameworks, systems, recordings, templates, or other intellectual property for commercial use or distribution outside the membership.

8. MEMBER TRANSACTIONS AND DUE DILIGENCE

Any business transaction, agreement, investment, partnership, or engagement between members is conducted solely at the discretion and responsibility of the involved parties. Student is solely responsible for independent due diligence and for vetting any person, opportunity, property, investment, or business transaction.

Participation in The Society does not constitute endorsement, recommendation, verification, or approval of any member, investment opportunity, strategy, property, or business activity.

The Society, including its founders, coaches, employees, contractors, and affiliates, shall not be liable for losses, damages, claims, disputes, legal actions, or financial outcomes arising from transactions, investments, or engagements between members.

9. RELEASE FROM LIABILITY; NO GUARANTEE OF RESULTS

The Society makes no representations, warranties, or guarantees regarding financial results, investment outcomes, capital-raising success, business growth, income levels, or business success. Results vary based on individual effort, market conditions, timing, experience, and factors beyond The Society's control.

Student agrees to hold The Society harmless from any loss, claim, or liability related to participation in the membership program, subject to applicable law. The Society shall not be liable for indirect, incidental, special, consequential, or punitive damages to the extent permitted by law.

Student may submit a written request regarding specific future use; materials already published or distributed may remain in circulation.
